Terms and services for UK



1.Definitions 

    a. “Feedzaa”, “We”, “Us”, “Our” refer to Feedzaa Limited,

    b. “Feedzer”, “HomeChef”, “You”, “Your” refer to home-based caterers who register on Our platform,

     c. “Customer” refers to buyers of food on Ourplatform, ‍“Agreement” refers to a contract between Feedzaaand Feedzer (HomeChef) with the below terms and conditions, which becomes applicable when a (Feedzer) HomeChef submits his/her registration form.

2. You confirm understanding that You are not an employee of Feedzaa Limited and that this Agreement is not an employment contract. You shall not represent yourself as an employee or agent of Feedzaa.

3. You commit to preparing fresh food with good quality ingredients, sourced responsibly from a respectable supply chain, in a safe and hygienic environment, in accordance to the laws and regulations of food safety and hygiene applicable in the UK. You recognise that as a commercial seller of this service, You will be seen as a reasonable expert in this field by Your customers, and commit to delivering Your responsibilities accordingly.

4. You commit to complying with all laws that govern the preparation and sale of food in the UK – including but not limited to food business registration with Your council, and securing adequate training and certification. You also commit to complying to standard business practices including securing adequate insurance to cover all Your activities in this business, and to declare Your earnings in full to HMRC and pay applicable taxes.

5. You commit to securing due training on food allergy, and to provide clear, unambiguous allergen information to your Customers.

6. You commit to listing and preparing only legally permitted and acceptable dishes. You shall not sell any alcohol, tobacco or drug products using Our software service.

7. You recognise the registration fee is non-refundable.

8. Our charges for offering this service have been shared separately with you and are published on Our website (www.feedzaa.com)By registering, you agree to paying our charges on time and in full, and accept the charging model in full (including but not limited to payout frequencies).

9. We reserve the right to provide concessions or waivers to any Feedzer (HomeChef) in part or full.10. You agree to deliver all commitments You make to Your Customers (including but not limited to: style of food preparation, spice levels, allergens and use of the right ingredients, portion sizes, time of collection or delivery). Any impact of any failures in the above shall be managed by You directly at your own costs.

11. Our platform offers You the choice of providing delivery services to Your Customers. Should you choose to deliver food to your Customers, you must follow prevailing regulations and stipulations governing the delivery of freshly cooked food – including the use of appropriate packaging and delivery infrastructure (hotboxes and other equipment required for delivery).

12. We retain the sole right to determine our charges, the contents of our advertisements, any guidance or concessions offered to Feedzers (HomeChefs), and the function and design of Our platform.

13. While our technology is designed to offer a high degree of availability across 24 hours every day, we do not offer this as a guarantee, and We do not accept liability for any unplanned unavailability of the Applications.

14. A customer using your platform to engage You does not have Our endorsement of any kind. We do not carry out any reference or background checks on your customers. You shall plan Your processes and transactions accordingly.

15. Feedzaa reserves the right to set off any money owed by You to Us, against money We owe to You.

16.No discounts or subscription extensions are promised unless a coupon is provided to the registered email address or is displayed on the official website of Feedzaa. 

17. If the chef is taking a break or is on holiday and the chef would restart the services after a short period of 30 days, Feedzaa can withhold the customer's data for the next 30 days with a fixed fee.

18. If the break is extended and the chef has been paying to withhold their data until they are ready to restart the business, then there will be no requirement to pay the registration fee again.

19.If the chef has taken a break and has not been making the payment to withhold their data till they are ready to restart the business, then there will be a requirement to pay the registration fee again to restart their services.

20. If the break/holiday taken by the chef is 15 days or less, then there is no need to make the payment to withhold the account or data.

21.If the break/holiday taken by the chef is 15 days or less, then there is no need to make the payment of registration to restart the business.

22. The customer shall contact customer service in the respective country they are availing services from for any clarifications on the above.

23. Feedzaa has the authority to approve the request based on the event in case of any inconveniences during the subscription.

25. Disputes

a.      Between Us and You                            

                      i.  Any disputes You may have with Us need to be dealt with directly with Us at the                           first instance. If we do not agree on a resolution for up to 1 calendar month from the                           issue being notified to Us in writing, industry standard, UK-based third-party                           arbitration mechanisms shall be followed to get to a resolution.                             

                     ii.  Legal proceedings are to be considered as the last resort should all arbitration fail,                            and are to be dealt with in England, as per local laws.

b. Between You and Customers                                                    
                     i.     You recognize that Our platform represents You based on the information You                               share with us.                                                  
                    ii.     You are accountable for the accuracy of the information you provide to us, and                                for the delivery of Your contract with Your Customer (of providing fresh,                                home-cooked food adhering to all terms in this document)

                   iii)    Any disputes with Customers related to the above shall be managed and resolved                              by Yourselves, in good faith, treating your customers fairly, and cognizant of your                              reputation and Ours.

                     iv)  You Shall report all disputes to Feedzaa through your nominated contact, or by                                email      
                                hey@feedzaa.com                                                
                        v) We are accountable for the accuracy with which Your information is displayed on                                Our platform.
                       vi) Any associated disputes with Customers will be led and managed to resolution                                by Us

26. Information Security

Information a.It is your responsibility to keep your device and access to the application secure. We recommend that you do not “jailbreak” or root” your phone, which is the process of removing software restrictions and limitations imposed by the official operating system of Your device. This could make Your device vulnerable to malware/ viruses/ malicious programmes and compromise your phone’s security features. This could also mean that Our Applications may not work properly or at all.

      b.Information transfer via the Internet is not completely secure. While we take the steps required by law to protect your information, we cannot guarantee the security of your data transmitted to Our Applications. Any transmission of data to Our Applications is at your own risk.

27. Third Party

‍a.We reserve the right to use third parties to augment our service provision to you. You        agree to accept and abide by their terms and conditions of use and privacy policy.

b.The following third parties have been engaged in our service provision:

28. Intellectual Property and Copyrights

‍a. The design and functions of the applications and other aspects of Our platform are the Intellectual Property of Feedzaa Limited.

b.  Any pictures or other content You may share with Us or on the Feedzaa suite of applications shall not infringe any copyright or other rights of other persons or organisations. Any disputes or liabilities arising out of such actions by You shall be dealt with by You at Your own cost.


29. Data

‍ a.  Our platform will provide You with direct access to customer data, including personal identification information. You agree to abide by GDPR (General Data Protection Regulation) and our Privacy Policy that is available on our website. By accepting these terms and conditions, you expressly confirm that you will use the data only to provide or receive the Service, and not for any other purposes. You also confirm that you will not make copies of the data outside of Feedzaa systems.

b .Protecting the data of your customers are completely your responsibility.

c.Other than personally identifiable information that is covered by our Privacy Policy, any material you share with Us in any form via any channel will be considered non-confidential and non-proprietary. By sharing the content, you warrant that you own or control all rights to such content. We or any parties we nominate will be free to copy, distribute, and otherwise use any such content.

d.You agree to not share content of any form(including but not limited to text and images) that:
              i..      Breaches applicable laws, or
              ii..      Is unlawful or fraudulent, or
              iii.      Contains viruses or other harmful programmes, or
              iv.      Is offensive, obscene or defamatory, or
              v.      Promotes violence, or
              vi.       Infringes the intellectual property rights of another party
   
30. You are registered under the express condition that Feedzaa shall have no liability in contract or in tort arising from or in connection with the use and/or possession of Our platform by Customers or the Feedzer(HomeChef). The Feedzer (HomeChef) shall indemnify and hold Us harmless from and against any liabilities and claims from third parties arising from such use and/or possession.

31. We reserve the right to terminate Our Agreement with Feedzers (HomeChefs) at any time. We will however provide a reasonable explanation for the decision.

32. Any rights not expressly granted in these terms are reserved.


Terms and service for India


Definitions
